Terms of Service | JD Align

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the JD Align platform operated by JD Align Pty Ltd (ABN 87 695 417 648) ("JD Align", "we", "our", "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

JD Align is a subscription-based Software-as-a-Service (SaaS) platform that enables recruiters and agencies to manage job listings, receive applications, and use AI-assisted tools to analyze candidate data.

JD Align provides tools and infrastructure only. JD Align does not make hiring decisions and is not responsible for employment outcomes.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use JD Align. By registering, you represent and warrant that you meet this requirement.

4. User Accounts

To access JD Align, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

5. Subscriptions and Payments

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable fees.

Payments are processed securely through third-party payment providers (such as Stripe). JD Align does not store full payment card details.

Subscriptions renew automatically unless cancelled before the end of the billing period. Fees are non-refundable except where required by law.

Where one-off job posting purchases are offered, screening units are tied to the specific job and entitlement period for which they were purchased. Unused one-off units are not transferable to other jobs and expire when the applicable one-off entitlement expires.

6. Use of Service

You agree to use JD Align only for lawful purposes and in accordance with these Terms. You must not:

Upload content that infringes the intellectual property or privacy rights of others.
Misuse the Service to distribute malware, spam, or harmful code.
Attempt to gain unauthorized access to the Service or interfere with its operation.

You are responsible for ensuring that your use of AI-generated insights complies with applicable employment and anti-discrimination laws.

7. Data Processing

JD Align processes candidate and recruiter data in accordance with its Privacy Policy.

Recruiters determine the purposes for which candidate data is collected and used. JD Align acts as a platform provider and processes data on behalf of recruiters, while also maintaining certain data for platform security, compliance, analytics, and service improvement.

You are responsible for obtaining any required consents from candidates.

8. Intellectual Property

JD Align and its content, features, and functionality are the exclusive property of JD Align and its licensors. You are granted a limited, non-transferable, non-exclusive license to use the Service for its intended purpose.

9. Termination

JD Align may suspend or terminate your access to the Service for breach of these Terms, non-payment, or misuse of the platform.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle.

Termination does not relieve you of outstanding payment obligations.

9A. Indemnity

You agree to indemnify and hold harmless JD Align from any claims, damages, liabilities, costs, or expenses arising from:

Your use of the Service.
Your hiring decisions.
Your breach of these Terms.
Your violation of applicable employment or privacy laws.

9B. Force Majeure

JD Align is not liable for delays or failure to perform resulting from events beyond its reasonable control, including cloud provider outages, cyber incidents, government actions, or natural disasters.

10. Limitation of Liability

To the maximum extent permitted by law, JD Align provides the Service on an "as is" and "as available" basis.

JD Align is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or reputational harm.

Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.

To the extent permitted by law, JD Align's total aggregate liability arising out of or relating to the Service is limited to the total fees paid by you in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of its courts.

12. Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
